General Terms and Conditions of Eliwing Consulting Licari

1. Scope
These general terms and conditions (GTC) apply to all offers, services and contracts concluded between Eliwing Consulting Licari (hereinafter referred to as "company") and the customer (hereinafter referred to as "customer") in connection with consulting services.

2. Offer and conclusion of contract
Offers from the company are always subject to change and non-binding, unless expressly agreed otherwise. The contract is only concluded when the customer accepts the offer or when the company carries out the consulting services.

3. Services
The company undertakes to provide the customer with consulting services in relation to the consulting area chosen by him. The company reserves the right to change the way the services are provided, provided this is reasonable for the customer and the agreed services are not affected.

4. Fee
The agreed fee is to be paid for the consulting services provided by the company. If no fee agreements have been made, the company's list prices apply. All prices are given in Swiss francs (CHF) and do not include the statutory value-added tax.

5. Terms of Payment
Invoices are due for payment within 20 days of the invoice date without deduction. In the event of a delay in payment, default interest of 5% pa must be paid.

6. Warranty and Liability
The company is liable for the careful provision of the agreed services. Liability for damage resulting from unforeseeable events or force majeure is excluded. Liability for lost profits or other indirect damage is also excluded.

7. Confidentiality
The company undertakes to keep confidential all information provided by the customer in connection with the contract.

8. Final Provisions
Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, an appropriate provision that comes closest to the purpose of the invalid provision shall apply.

9. Applicable law and place of jurisdiction Swiss law applies. Place of jurisdiction is Burgdorf.
